GENERAL CONDITIONS

Members enter into a contract with BarbarianTribes. This contractual relationship between BarbarianTribes and the membersis defined by these terms and conditions. The quality of the services offered as well as a pleasant and healthy atmosphere withinthe community is closely linked to the strict respect of these terms and conditions.

1. goal

BarbarianTribes, whose registered office is located at 28B rue de Crauthem 3390 Roeser, within its means, makes trainersavailable to its members with the main purpose of providing them with the motivation and advice necessary to enable them toengage in fitness and other sports activities.

2. minimum age

The minimum age for a subscription is 18.

3. offer

By signing the contract, a person becomes a member. Before joining, each interested party is required to obtain sufficientinformation about the services offered by Barbarian Tribes. The services offered as well as the opening hours may vary.

4. membership types

When you register, you indicate the type of subscription you want to take out. You can subscribe to all our subscription types for- an initial duration of 12 months for an indefinite period with, however, a minimum period of membership of 12 fullmonths paid at full rate. Beyond this period, the contract is extended by tacit renewal from month to month, unlessthe member notifies his intention to terminate the subscription by registered mail or e-mail addressed to themanagement under the conditions provided for in Article 15 of these general conditions. Cancellation is not possible before the end of the minimum membership period.- an initial duration of 3 months for an indefinite period. After 3 months, the contract is extended by tacit renewal frommonth to month, unless the member notifies his intention to terminate the subscription by registered mail or e-mailaddressed to the management (office@barbariantribes.com) under the conditions provided for in Article 15 of these general conditions.Cancellation is not possible before the end of the minimum membership period. Any month started is due in its entirety. Membership provides unlimited access to all BarbarianTribes activities during business hours.

5. payment

5.1 The total price is the sum of all monthly payments during the minimum membership period.

5.2 The payment of the subscription will be made direct debit or credit card. In case of payment by credit card, the total price is due at the signature of the contract. In the case of payment by direct debit, the monthly installment is normally debited at the beginning of the current month.

5.3 The monthly payments are due independently of the use of the services of Barbarian Tribes. In case of non-payment, theparticipation in the services offered by Barbarian Tribes will be denied and the access revoked.

5.4 The obligation to pay fees does not depend on the availability of all services at all times. Circumstances such asunavailability of trainers due to illness and other circumstances may limit the use of services. Fees will not be reduced orsuspended while services are unavailable.

5.5 If you become a BarbarianTribes Member, we charge a registration fee. This registration fee may vary depending on the typeof membership or if it is a promotional offer. If your membership has expired and you wish to become a Member again, you must pay the membership fee again.

6. change of subscription type

Definitions: The total price is the sum of all monthly payments during the minimum membership period. In case of a change of subscription type, a new minimum membership period of the new subscription starts. The change of subscription type can only be done after the minimum membership perdiod.

7. prolongation

A member who has terminated his or her membership and subsequently becomes a member again must pay the membershipfee, according to the current rates. This will not be the case as long as the member extends his/her membership from month to month.

8. transfer

Subscriptions are strictly personal and cannot be transferred under any circumstances.

9. payment default

After the minimum period of membership, as soon as the member is 3 months in arrears, the contract is automatically terminated, without prior notice. The payment of the membership fees due until the termination of the membership becomes immediately due and a lump sum of 200.-eur will be due as compensation for the administrative and collection costs that BarbarianTribes will have to incur. BarbarianTribes will collect the debt amicably and/or judicially, possibly in collaboration with third parties. Any costs incurred by BarbarianTribes in the collection of its debt will be fully charged to and borne by the member.

10. direct debit by credit card

Members shall immediately notify Barbarian tribes of any loss, theft, change of card number or expiration of the card and shall remain solely responsible for payment of bills.

11. indexing

After a full 12-month membership period, the monthly contribution will be adjusted automatically and without notice to the National Consumer Price Index (NCPI) according to the formula: initial contribution x new index / initial index

12. suspension

For all forms of subscription, you may take advantage of the possibility of suspending your subscription for medical reasons, subject to the conditions defined below: Membership can only be suspended after BarbarianTribes has received a valid medical certificate (by email or by post to BarbarianTribes customer services) stating that the Member is temporarily unfit to practice the sport;

o the medical certificate states that from the moment the certificate is sent to BarbarianTribes, at least one month’s suspension will be required;

o the suspension is effective from the moment of its reception by BarbarianTribes and has no retroactive effect

o the suspension is for a fixed period and ends on the date indicated on the medical certificate provided;

o the suspension shifts the duration of your contract in proportion to the duration of the suspension;

o a one-off administrative fee of EUR 5 will be charged for processing the suspension. In case of suspension during the minimum membership period, the membership period paid at the full rate will be extended bythe number of months equal to the suspension period. Termination is not possible before the new minimum membership period end date.

13. health status

The member hereby declares that he/she is in good physical and mental health and that there are no medical or other contraindications that would prevent him/her from exercising physical effort. He/she declares that he/she is fully aware of his/her state of health when subscribing to this membership. He/she also declares that physical effort cannot be detrimental to his/her health, personal integrity or physical condition.

14. injury

14.1 If the member submits a medical certificate stating that he/she can no longer practice sports for a period of at least 12 months from the date of submission of the medical certificate, BarabrianTribes shall terminate the membership at the requestof the member from the date of receipt of the request to this effect, accompanied by the medical certificate (by email or by post).

14.2 If the medical certificate or proof of relocation is provided only after the initiation of legal proceedings for the collection ofdues, it will no longer be accepted. Any legal costs incurred by BarbarianTribes in this regard shall always be borne by the member who was negligent.

15. cancellation

15.1 termination during the minimum membership period: the membership cannot be terminated during theminimum membership period stipulated for each type of membership. The membership fee is due in any case for the minimum membership period stipulated in each type of contract.

15.2 termination at the end of the minimum membership period: if the member wishes to terminate his membership at the end of the minimum 12-month (3-months) period, he must notify his intention to terminate by registered mail or e-mail addressed to the management, giving one month’s notice (see art. 15.3). Any month started is due in its entirety.

15.3 termination after the minimum period of membership: membership is extended from month to month by tacitrenewal. At the end of the minimum membership period, the member may terminate the contract at any time by giving onemonth’s notice by registered mail or e-mail to the management. The one month notice period shall begin on the first day of themonth following receipt by BarbarianTribes of the registered letter of termination.

16. behavior

16.1 BarbarianTribes requires its members to behave in a proper, decent and community-like manner at all times. As areminder, the values of the community are team spirit, fun and bold. Any aggressive, indecent behavior, of a nature to endangerthe safety, health or morals of other members or staff will result in the immediate termination of this contract withoutcompensation for serious misconduct on the part of the offending member, without prejudice to any legal consequences.Members are furthermore required to comply with all BarbarianTribes rules, schedules, which may be posted in groups, onsocial networks or notified orally, and which may be changed from time to time, at the sole discretion of the management.In any event, the member shall indemnify BarbarianTribes, its management and staff against, and hold it harmless from, anyand all loss, liability and expense caused by the improper and negligent use of the facilities and equipment made available by the City of Luxembourg and BarbarianTribes.

17. modification of the data.

Any change in your personal situation (e.g. address or bank details) should be reported directly to office@barbariantribes.com. In case of failure to report such changes, and when BarbarianTribes has to incur costs to find out the new personal data, thesecosts will be charged to the member.

18. management of BarbariansTribes

BarbariansTribes reserves the right to change, add or remove various services it offers.

19. independent contractors

Occasionally, we may offer members and their guests the services of independent contractors. We do not warrant or guaranteethe quality of these services and do not guarantee that these services will remain available to members and guests for any periodof time, and hereby disclaim any liability arising from such services.

20. insurance

Each member shall insure himself against personal accidents. Members are requested to contact their insurance agent forfurther information on this subject. It is expressly agreed that BarbarianTribes or its employees and associates shall not beliable for any matter not covered by the member’s insurance policy or for any amount in excess of the coverage of such policy,except for gross negligence and/or malice of its employees or associates. Neither BarbarianTribes nor its employees or collaborators shall be liable for any loss, damage or theft of the member’sproperty during the sessions. Members should avoid bringing valuables and always store personal belongings in a secure place. BarbarianTribes declines any responsibility in case of accident to a member during the sport sessions for any reasonwhatsoever. Except for gross negligence, fraud or intentional fault in his head, the proof of which is brought by the member.The member hereby declares that he/she is aware of the operation and risks of the outdoor sports activity. The staff is at theapplicant’s disposal for any information related to the execution of the exercises and the safety regulations to be respected. Themember declares that he/she participates in the sessions with full knowledge of the facts and at his/her own risk and peril.

21. data protection general conditions

BarbarianTribes processes customer data in accordance with the General Data Protection Regulation on April 27, 2016 (Regulation 2016/ 679) – rgpd – Effective May 25, 2018. BarbarianTribes respects the privacy of its members and is committed to ensuring that all information collected in the context of commercial protection, a registration for the service offered, management of the customer file, promotional information campaigns, market research considered confidential information under the legislation in force.BarbarianTribes will not sell, rent, transfer or give access to third parties to the data without prior consent of the client, unless compelled to do so for a legitimate reason (legal obligation, fight against fraud or abuse, exercise of the rights of defense). In accordance with the aforementioned General Data Protection Regulation, you have the right to access, rectify, portability and deletion of your data or to limit the processing. You may also, for legitimate reasons, object to the processing of your data. 22. agreement

This Agreement constitutes the entire and exclusive agreement between the parties and supersedes any other written or oral agreement. This Agreement may only be modified in writing by a document approved by the BarbarianTribes Administrator. Employees and service providers are not authorized to enter into an independent agreement with a member.

23. disputes

Disputes concerning the execution of the contract and/or payment obligations of the parties can only be brought before thedistrict court of and in Luxembourg or before the justice of the peace of and in Luxembourg.

24. image rights

The Member hereby expressly grants to BarbarianTribes, free of charge, the right to use his/her personal image for purposes ofits inclusion in catalogs, advertisements, audiovisual material and in general for any use that BarbarianTribes may determine to promote its activities. BarbarianTribes

25. Membership Pause

25.1 Member’s Right to Pause Membership: The Member shall have the right to temporarily pause their membership for a period of one full month (30 days) once during each calendar year, commencing from the date of their initial membership activation.

25.2 Request for Pause: To exercise this right, the Member must submit a written request to Barbarian Tribes at least 10 days prior to the desired start date of the pause. The written request should include the desired start date and end date of the pause period.

25.3 Duration of Pause: Upon receiving a valid pause request, Barbarian Tribes will pause the Member’s membership for the requested one-month period. During this pause period, the Member will not be billed for membership fees, and their membership benefits and access to services may be temporarily suspended.

25.4 Limitations: a. The Member may only exercise this pause right once in a calendar year. b. The pause period must be continuous and cannot be split into multiple shorter periods. c. The pause period may not be used retroactively and must be scheduled in advance. d. The Member shall remain responsible for any outstanding dues or fees accrued up to the start date of the pause period. 

25.5 Resume of Membership: At the conclusion of the pause period, the Member’s membership shall automatically resume, and all terms and conditions of the original membership agreement shall remain in effect. The Member will be billed for membership fees as per the original membership terms.

25.6 Termination of Membership: If the Member wishes to terminate their membership during the pause period, they must follow the termination procedures outlined in this contract.
